Summary
This free NDA generator builds a draft non-disclosure agreement in your browser. Choose a mutual or one-way agreement, enter the parties, the disclosure and survival periods and a governing law (Switzerland, Germany, Austria, England and Wales or France), then copy or download the text. Nothing is uploaded. It is a plain template, not legal advice, and the page lists points to check before you send it, such as legal names, the length of the protection window and the stated purpose.
NDA Generator: Draft a Free Non-Disclosure Agreement
Fill in the parties, term and governing law. The nda generator builds a clean draft in your browser, with nothing uploaded or stored.
What goes into the draft
Clauses that most NDAs share
The draft always includes a purpose, a definition of confidential information, use and disclosure limits, the standard exclusions and compelled disclosure. Return of materials and injunctive relief are optional switches.
Time limits you control
The disclosure period sets how long information can be shared under the agreement. The survival period sets how long the duty lasts after that. Defaults are 2 and 3 years. The notes below the draft warn you when the total looks long or the survival is zero.
Governing law and place of jurisdiction
Pick Switzerland, Germany, Austria, England and Wales or France. The matching governing law wording is inserted, and you name the city whose courts decide disputes. Trade secrets stay protected for as long as the law treats them as such.
Why a short NDA is usually the better NDA
Most NDAs I have signed were far longer than the conversation they protected. A short, readable agreement gets signed faster, and the other side is more likely to read it. That matters, because a clause nobody read is a clause nobody will honour. Use this draft as a starting point for a first meeting, then add what the deal really needs.
- Name the purpose narrowly so the other side cannot reuse your information elsewhere
- Keep the protection window proportionate to how long the information stays sensitive
- Read the final text as if you were the receiving party
